To the extent that past performance is available through the Site, past performance is not indicative of future results, and no representation is being made that any investment will or is likely to achieve profits or losses similar to those achieved in the past, or that significant losses will be avoided.

Please remember that different types of investments involve varying degrees of risk, and there can be no assurance that the future performance of any specific investment or investment strategy (including those undertaken or recommended by Brickell), will be profitable or equal any historical performance level(s). Other events which were not taken into account may occur, and any projections, outlooks or assumptions should not be construed to be indicative of the actual events which will occur.

Investments discussed on the Site, if any, may not be suitable for you. You should make your own investment decisions based upon your own financial objectives and financial resources, and prior to making any investment decision, you are advised to consult with your broker, investment adviser, or other appropriate tax or financial professional to determine the suitability of any investment. Different types of investments involve varying degrees of risk, and there can be no assurance that the future performance of any specific investment or investment strategy discussed herein will be profitable or equal any historical performance level(s). None of Brickell, any of its affiliates (including, without limitation, Brickell Family Office), and each of their respective officers, directors, members, agents, representatives, employees, or contractors (collectively, “Brickell Parties”), shall be responsible or have any liability for investment decisions based upon, or the results obtained from, the information provided.

The comparison of any company, strategy, portfolio or index to a single other portfolio may be inappropriate because the portfolio’s assets, strategies and level of risk may vary materially from the comparable company, strategy, portfolio or index as a whole. The Brickell Market View, the Brickell Report and the Brickell Price Update describe hypothetical investments, which may include individual securities solely for illustrative purposes, to which Brickell is applying its global macro research and analysis. When Brickell is currently analyzing an investment in the Brickell Market View, it is an “open view”; when it is no longer analyzing such investment it is a “closed view.” In addition, Brickell issues “entry level” and “exit level” alerts to indicate the price of an investment at which Brickell begins or ends its analysis in the Brickell Market View. The Brickell Market View, including, without limitation, “open views,” “closed views,” “entry levels,” and “exit levels,” are all provided solely for illustrative and information purposes only.

The Brickell Market View contains a number of hypothetical assumptions, including, without limitation, the absence of transaction costs, margin interest, taxes and other incidental expenses. The Brickell Market View also does not take into account cash dividends, stock splits, rights, warrants and other corporate actions. In addition, the Brickell Market View does not consider liquidity, market, or other trading issues, nor asset allocation, investment strategy, fees, or suitability concerns. The Brickell Market View, the Brickell Report and the Brickell Price Update do not reflect any actual investment portfolio (or any other actual investment purchased, sold or recommended for investment by Brickell or any of its principals, officers, employees or affiliates) and are not intended to represent the performance of any investment made in the past or to be made in the future. Principals of Brickell may buy or sell some, all or none of the investments included in the Brickell Market View, the Brickell Report and the Brickell Price Update for their personal trading accounts or for the trading accounts of others. The Brickell Market View, the Brickell Report and the Brickell Price Update are not intended to be, nor shall they be construed as, investment advice, nor should they be relied upon in making any investment or other decision.

No Inside Information; No Guaranteed Results. Brickell obtains information from a wide variety of publicly available sources. Brickell does not have, nor does it claim to have, sources of inside or private information. Examples of forward-looking statements include, but are not limited to, estimates with respect to financial condition, market developments, and the success or lack of success of particular investments (and may include such words as “crash” or “collapse”). All are subject to various factors, including, without limitation, general and local economic conditions, changing levels of competition within certain industries and markets, changes in interest rates, changes in legislation or regulation, and other economic, competitive, governmental, regulatory and technological factors that could cause actual results to differ materially from projected results. Comparable companies, strategies, portfolios and indices may be included on the Site only as a context reflecting general market results during the depicted period or as of the specified date.

YOU ASSUME ALL RISKS OF LOSS RESULTING, DIRECTLY OR INDIRECTLY, FROM THE USE OF THE INFORMATION CONTAINED ON THE SITE. BY USING THE SITE YOU ACKNOWLEDGE AND AGREE TO HOLD HARMLESS THE BRICKELL PARTIES FROM ANY AND ALL CLAIMS, ACTIONS, DAMAGES, LOSSES, LIABILITIES, COSTS AND EXPENSES OF ANY KIND WHATSOEVER, INCLUDING BUT NOT LIMITED TO ANY CLAIMS OF NEGLIGENCE, ARISING OUT OF, RESULTING FROM, BY REASON OF, OR IN CONNECTION WITH THE USE OF THE INFORMATION CONTAINED ON THE SITE.

Indemnification. You shall indemnify and hold harmless the Brickell Parties for any and all claims, losses, liabilities, and expenses (including attorneys’ fees) arising from your use of the Site and/or the Services, or any violation of this Agreement.
